Terms of Service (rev. 2010-01-16)


Envelope Equipment Exchange provides a service (the "Service") to facilitate the sale and purchase of surplus envelope converting and related equipment (the "Equipment"). Envelope Equipment Exchange offers a secure marketplace for Members seeking to sell ("Sellers") and Members seeking to buy ("Buyers") Equipment. Members accept full responsibility for all decisions to buy and sell Equipment. By completing a registration form, the Service is available to business entities (a "Company") and its authorized representatives. A Company is considered a "Member" once Envelope Equipment Exchange accepts the completed registration form. Member will be required to establish a User Name and Password in order to have full access to the Service. The use of the Service is at the sole risk of the Member. Member is responsible for maintaining the confidentiality of their established User Name and Password information and all activities occurring under their account. If there is any unauthorized access to a Member's account, Member is to notify Envelope Equipment Exchange immediately.


Envelope Equipment Exchange does not own any of the equipment described in the listings and is acting solely as facilitator for the sale of the Equipment. All Equipment is offered "AS IS", "WHERE IS", AND "WITH ALL FAULTS". Unless otherwise noted, descriptions and photos come directly from the Equipment owners. Envelope Equipment Exchange has no control over the quality, compatibility, safety or legality of the Equipment offered for sale and expressly disclaims any and all warranties. Additionally, Envelope Equipment Exchange does not guarantee the availability of any Equipment, nor does it make any warranty that the Service will meet the Member's needs.


Members agree to maintain the integrity of the web based operating system of Envelope Equipment Exchange and will not knowingly upload or distribute any corrupted files, viruses or programs that could damage the operating system of another computer. In addition, Members will not put an excessive load on the Envelope Equipment Exchange site that could impede with the proper operation of the site.


Member agrees to not participate in any illegal or deceptive acts regarding the Service. Members are bound and agree to comply with all the laws and regulations regarding the transmission of technical data and will not to use the Service to collect information about other Members. Member agrees that they are not buying or selling equipment in order to avoid laws of doing business with countries on a prohibited trade list with respect to the country of origin. To ensure compliance, it is the Member's responsibility to check with their respective governing agency.


Members will not attempt to circumvent the system and will not buy or sell any Equipment that was first made known to them by means of the Service. If there is any attempt made to complete a sale in this manner, the Member will be required to make payment of all appropriate fees to Envelope Equipment Exchange, as the sale would be recognized as a successful bid. In addition, Members agree to not manipulate the bidding system with the use of an alias or decoy to place false or misleading bids.


In the event that Member posts any material that infringes on the copyrights of a third party, Envelope Equipment Exchange can terminate Member's access to the Service. Members may contact Envelope Equipment Exchange regarding any alleged infringement. If posted material is believed to violate any applicable law, the material will be removed and the posting Member will be notified.


Envelope Equipment Exchange reserves the right to amend the Terms of Service from time to time. Notification of any change in terms will be distributed to Members via electronic communication. The amended Terms will become effective upon posting and the continued use of the Service after the amended Terms have been posted will serve as evidence that the Member has accepted the amended Terms.


Envelope Equipment Exchange may pay compensation to or receive compensation from third parties who assist in facilitating transactions. Compensation, if any, could include, but is not limited to, monetary credits or payments.


The Service may provide Web links to other sites. Envelope Equipment Exchange is not liable for any content, advertising, products, or materials on or available from such sites. Envelope Equipment Exchange makes no warranty that the service will be without error, without interruption, or secure. Member understands that any data downloaded or otherwise obtained through the Service is at the sole risk and responsibility of the Member and holds Envelope Equipment Exchange harmless of any damage to a Member's system.


Members agree to release Envelope Equipment Exchange, its officers and employees, from any and all claims or damages that may arise in connection with use of the Service. In the case of disputes between Members, Members agree to attempt to settle disputes directly with one another. Envelope Equipment Exchange's liability to Member or any third party is limited to the amount of fees collected by Envelope Equipment Exchange from the Member with respect to the transaction to which a dispute arises. Member agrees that Envelope Equipment Exchange will not be liable to Member or any third party for any direct or indirect, incidental or punitive damages. These include, but not limited to, loss of profits, damages, expenses, or costs resulting from the use or inability to use the Service, or losses resulting from mistakes, defects, errors, omissions or any failure of the Service; disclosure of Member's identity; failure or lack of performance of any Equipment purchased through the Service; the failure of any Seller to provide access to "Sold" Equipment, failure of any Buyer to arrange shipment or payment. Any claim or controversy arising out of or relating to this Agreement, or the breach hereof, shall be resolved by final and binding arbitration to be conducted in Blair County, Pennsylvania.


In the event that any provision within this Agreement is deemed to be invalid, unenforceable or void, the parties agree to allow a court or arbitrator to replace such provision with a valid provision with reasonable reference to the provision being replaced. The laws of the Commonwealth of Pennsylvania shall govern this Agreement and any modifications constitute the entire agreement between the parties with reference to the contained subject matter.

Buyer Terms

Members may Bid on listed Equipment. A Bid is considered an irrevocable offer to purchase the listed Equipment by the Member. A Bid cannot be withdrawn unless it is proven that an exceptional circumstance exists and is considered binding until the Listing is removed or is rejected by the Seller. All Bids shall be in U.S. Dollars unless otherwise noted in the listing, and is subject to Seller's terms of sale, if any.


A bid for Equipment is consider to be "Accepted" if an offer in an ask/buy sale meets the reserve sale price and the offer is accepted by the Seller; or in a traditional auction sale when the Member has made the highest bid at or above the minimum or reserve price, at which the bidding Member is obligated to complete the transaction according to the terms of the Listing and Seller's terms of sale.


Buyer is entitled to inspect the Equipment prior to final deposition of the sale. If an Equipment Inspection is requested, Buyer is required to notify Envelope Equipment Exchange within twenty-four (24) hours from the close of the Listing and their Bid has been accepted. If Buyer chooses to perform Equipment Inspection, the Equipment will be considered Sold/Pending Inspection. If Buyer does not notify Envelope Equipment Exchange of intent to perform an Equipment Inspection, Buyer will surrender the right to inspection prior to the completion of the sale and the Bid will be considered binding. Buyer agrees to arrange and complete any necessary inspections within ten (10) business days of the close of the Listing.


Following an Equipment Inspection, Buyer must make a final deposition of sale within forty-eight (48) hours by, 1) making the balance payment of the Accepted Bid, or 2) in the event that the Equipment Inspection affects the terms of sale of the Accepted Bid, the Buyer and Seller can choose to make an amended agreement or terminate the sale. Failure to make a final deposition of sale of the Equipment will result in an administration fee equal to 15% of the accepted bid.


Accepted Bids must be paid to Envelope Equipment Exchange within three (3) business days of close of the Listing and notification to Buyer that its Bid has been accepted; or in the case of a Bid in which Buyer requests an Equipment Inspection, a deposit equal to 15% of the accepted offer is required within three (3) business days of the close of the Listing. All deposits will be applied against the final Accepted Bid amount. All payments must be made by Wire Transfer, Certified Check, Bank Check or Company Check w/Bank Guarantee. In the event that the Buyer utilizes a Wire Transfer, the Buyer will be charged a $25 Funds Transfer Fee. No Equipment will be shipped until payment has been received in full, including any applicable fees.


All items purchased must be scheduled for pick up within 15 business days from the receipt of final payment, unless Buyer and Seller agree on other arrangements. If the buyer has not made arrangements to pick up the item in that timeframe, the buyer may be subject to storage charges that must be paid prior to the buyer picking up the purchased Equipment.


NOTE: All equipment is subject to prior sale or cancellation of Listing. Formal acceptance of a Bid will only be made in the form of a written invoice from the Seller.


Members agree that all terms and conditions of the sales are exclusively between the selling Member and the buying Member. It is the Buyers responsibility to verify the accuracy of the listing information. Please review the Seller’s terms and conditions of the sale in order to determine that they meet your needs. All sales are “AS IS", "WHERE IS", and "WITH ALL FAULTS" and the Member’s only recourse is against the Seller. Member agrees to defend and hold harmless Envelope Equipment Exchange, it officers and employees from and against any damages, liabilities or expenses, including attorneys' fees, arising out of the use of the Service. This agreement is non-exclusive and integral of Envelope Equipment Exchange's Terms of Service.

Seller Terms

By posting a Listing, the Member is offering to sell the Equipment at the price listed or at the highest bid price received in a traditional auction style sale, provided that the reserve price is met.


A Listing duration period can be 7, 14, 30, 60, 90, 120, 150 or 180 days from the initial posting date. Sellers will be notified prior to the expiration of the listing period and will be given the opportunity to re-list the item. The seller will determine the duration of an auction at the time of posting.


The listing period will end at the completion of a traditional auction or with an ask/buy sale, when Seller has accepted an offer. At Seller’s request, Equipment may be removed from the Service only if Seller accepts an offer to buy the Equipment from an individual or entity that first learned of the Equipment from a source outside of Envelope Equipment Exchange. In this case, it is required that Seller make this known to Envelope Equipment Exchange in writing or electronic notification within 12 hours of accepting another offer. Once the notice is received, Envelope Equipment Exchange will delete the listing. In the event that Member fails to notify Envelope Equipment Exchange of the accepted offer from an outside source and Envelope Equipment Exchange receives a reasonable offer for the listing, Seller shall pay Envelope Equipment Exchange the appropriate selling fee on the current asking price of the Listing.


Seller agrees to allow Buyer to perform an inspection of the Equipment prior to final payment and deposition of sale. If Buyer intends to perform Equipment Inspection, Seller will be notified within twenty-four (24) hours from the time Buyer is notified that their Bid has been accepted. If Buyer chooses to perform Equipment Inspection, the Equipment will be considered Sold/Pending Inspection and Buyer is required to make a deposit equal to 15% of the accepted offer within 3 business days of the close of the listing. All deposits will be applied against the final Accepted Bid amount.


Once an Equipment Inspection is completed, Buyer is required to finalize the transaction. In the event that the Equipment Inspection affects Seller’s terms of sale relative to the original Accepted Bid, Seller may choose to amend the agreement or terminate the sale. If an amended agreement is made, Seller is required to notify Envelope Equipment Exchange within twenty-four (24) hours with the details of the amended agreement. If Seller fails to notify Envelope Equipment Exchange of any amended agreement, Seller will be required to pay the fees associated with the original Accepted Bid amount. If Seller and Buyer agree to terminate the sale, the non-refundable deposit will be retained as an administrative fee and distributed equally between the Seller and Envelope Equipment Exchange.


Envelope Equipment Exchange reserves the right to request modifications to a Listing or to reject any Listing.


Seller represents that all information regarding a Listing is accurate to the best of their knowledge and that Seller has all right, title and interest in, or the exclusive right to sell, the Equipment. In addition, at the time of transfer of the Equipment, Seller assures that the Equipment is free from any lien or encumbrance.


Seller authorizes Envelope Equipment Exchange to collect payment on its behalf. Seller agrees that once Envelope Equipment Exchange has received payment, Envelope Equipment Exchange will deduct the Selling Fee, according to the Seller’s Fee Schedule, plus applicable wired funds transfer fees, prior to the balance payment being made to the Seller. Seller will receive payment prior to shipment of the product(s). Seller is responsible for the collection and payment of any taxes related to the Equipment sale.


In the event that the successful Bidder does not fulfill its purchase commitment within three (3) business days of the close of the Listing, Seller may request Envelope Equipment Exchange contact the next highest bidder, initiate a new Listing or withdraw the Listing. If Seller requests that Envelope Equipment Exchange contact the next highest bidder, the Equipment will be offered at the amount of that bidder's offer.


Seller is responsible to supply the Buyer with all terms and conditions of the sale. Members agree that all terms and conditions of the sales are exclusively between the selling Member and the buying Member. Member agrees to defend and hold harmless Envelope Equipment Exchange, it officers and employees, from and against any damages, liabilities or expenses, including attorneys' fees, arising out of the use of the Service. This agreement is non-exclusive and integral of Envelope Equipment Exchange's Terms of Service.
